Tenancy Contract

This Tenancy Contract (“Contract”) is made on in the Emirate of Dubai, United Arab Emirates, between the following parties, and is governed by Law No. (26) of 2007 Regulating the Relationship between Landlords and Tenants in the Emirate of Dubai, as amended by Law No. (33) of 2008 (the “Law”).

1. Parties

This Contract sets out the agreed terms of the tenancy. It must separately be registered with the Real Estate Regulatory Agency (RERA) through the Ejari system before it can be relied upon before Dubai’s Rental Disputes Centre (Law No. 26 of 2007, art. 4).

3. Term

The term of this Contract begins on and ends on (art. 5). Unless either Party gives notice to amend or terminate in accordance with clause 8 below, this Contract renews automatically for the same term or for one year, whichever is shorter (art. 6). Neither Party may terminate this Contract unilaterally before the end of the term except by mutual written consent or on the grounds set out in clause 9 (art. 7).

4. Rent

The annual rent is AED 0 (AED ), payable by post-dated cheque(s) drawn in favour of the Landlord, presented in advance across the term. Unless the Parties agree otherwise, rent is payable in four (4) equal instalments in advance (art. 12).

5. Security Deposit

The Tenant shall pay a security deposit of AED 0 (AED ), held by , to secure performance of the Tenant’s obligations. The deposit shall be refunded to the Tenant upon expiry of the Contract, less any amounts properly deducted for damage beyond fair wear and tear or outstanding amounts owed by the Tenant (art. 20).

6. Landlord’s Obligations

The Landlord shall hand over the Premises in good condition, allowing the Tenant full use for the purpose stated in this Contract (art. 15), and shall carry out the maintenance work and repairs necessary to keep the Premises fit for that use throughout the term, unless the need for repair arises from the Tenant’s own act or fault (art. 16). The Landlord shall not make any changes to the Premises that would prevent the Tenant from enjoying full use, and remains responsible for any defect or fault affecting the Tenant’s intended use (art. 17). The Landlord shall grant the necessary approvals for any decoration work requested by the Tenant that does not affect the structural integrity of the Premises (art. 18).

7. Tenant’s Obligations

The Tenant shall pay the rent on its due dates and maintain the Premises as would a prudent person, and shall not make any changes to or restoration of the Premises without the Landlord’s written permission and any licence required by the competent authorities (art. 19). The Tenant shall pay all government fees and taxes arising from its use of the Premises (art. 22). The Tenant shall not assign use of, or sub-lease, the Premises to a third party without the Landlord’s prior written consent (art. 24). Subletting is: . Pets: .

On expiry or termination, the Tenant shall surrender the Premises to the Landlord in the same condition as received, ordinary wear and tear excepted (art. 21).

8. Renewal and Rent Increase

Any change to the terms of this Contract, including the rent, requires written notice from the Party seeking the change to the other Party at least days before the Contract expires (art. 14, as amended by Law No. 33 of 2008). Any increase in rent must reflect the comparable market rent for similar properties, determined by reference to RERA’s Rental Index and the percentage bands set by Decree No. (43) of 2013, and may only take effect at renewal (art. 9, as amended by Law No. 33 of 2008). Absent timely notice, this Contract renews on its existing terms under clause 3.

9. Eviction and Termination

The Landlord may seek eviction of the Tenant during the term on the grounds set out in art. 25(1), including: non-payment of rent within thirty (30) days of written notice; sub-leasing or assigning the Premises without the Landlord’s written consent; use of the Premises for an illegal purpose; use other than that specified in this Contract; leaving the Premises unoccupied without reasonable cause; causing damage to the Premises wilfully or by gross negligence; the Premises being condemned, as certified by Dubai Municipality; or the Tenant’s breach of any other obligation under this Contract or the Law, following thirty (30) days’ notice to remedy.

At expiry of the term, the Landlord may seek eviction on the grounds set out in art. 25(2), including redevelopment required by public authorities, works needed to render the Premises safe or to preserve it, comprehensive renovation or reconstruction by the Landlord, or the Landlord’s or a first-degree relative’s wish to occupy the Premises personally — in each case subject to the ninety (90) days’ notice required under art. 14.

11. Governing Law and Jurisdiction

This Contract is governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, in particular Law No. (26) of 2007 and its amendment Law No. (33) of 2008. Disputes arising from this Contract fall within the jurisdiction of Dubai’s Rental Disputes Centre and the Dubai Courts.
